Mr. Lavinthal advises and represents companies, investors, founders, and management teams on corporate transactions, complex commercial agreements, corporate structuring, and governance matters. He handles acquisitions, financings, joint ventures, real estate transactions, and commercial agreements, and serves as general counsel for funds, management companies, and operating businesses.

Mr. Lavinthal has extensive experience advising media, technology, healthcare, and data-driven businesses in licensing, intellectual property, data and technology commercialization, and regulatory and compliance matters. He has worked on cross-border deals involving the United States, China, Hong Kong, and offshore jurisdictions.

  • Led legal strategy and cross-border execution for the sale of an international pharmaceutical intelligence company to Baidu.
  • Represented lead LP in a $200+ million Washington, D.C. ground-up development JV and financing.
  • Directed strategy and coordinated multi-jurisdictional enforcement relating to Hong Kong arbitration proceedings involving U.S., PRC, Hong Kong, and offshore entities and assets.
  • Structured and managed U.S., PRC, Hong Kong, and offshore entities for international technology, healthcare, media, and data businesses.
  • Co-led multiple private financing rounds for a New York-based digital media and commerce company.
  • Negotiated licensing and strategic commercial agreements with pharmaceutical companies, hospitals, and healthcare organizations.
  • Advised on acquisitions and strategic transactions involving lobbying information, government training, and senior living deal information platforms.
  • Formed and managed governance and compliance structures for U.S. investment entities and nonprofit organizations.

Prior Experience

  • Since 2017, Mr. Lavinthal has served as Managing Director and General Counsel of Sunwater Capital, where he oversees legal, transactional, governance, and strategic matters across the firm’s international investment, operating, and charitable entities.
  • From 2014 to 2023, Mr. Lavinthal managed legal and commercial matters for GBI, a U.S.- and PRC-based pharmaceutical intelligence platform. His work focused on international licensing, data and technology commercialization, regulatory and compliance matters, strategic transactions, and complex commercial relationships.
  • From 2006 to 2014, Mr. Lavinthal was a co-founder, general counsel and senior executive of UrbanDaddy, a New York-based digital media, commerce, and technology company. In addition to managing the company’s legal affairs, Mr. Lavinthal was involved in operational and strategic matters across multiple financing rounds, commercial partnerships, intellectual property and licensing matters, e-commerce initiatives, and technology and media transactions.
  • From 2002 to 2006, Mr. Lavinthal was an associate at Willkie Farr & Gallagher LLP, where he worked on complex commercial disputes and litigation matters involving intellectual property, contracts, antitrust, employment, corporate governance, white collar matters, and internal investigations.
