
John C. Eastlack III John is a commercial litigator with a focus on intracompany business disputes, such as business divorce, involving LLCs, corporations, limited partnerships, and general partnerships. His practice covers breach of fiduciary duty, minority oppression, misappropriation, usurpation of corporate opportunity, conversion, dissolution, buyouts, and state investigations. John represents clients in state and federal courts and arbitrations.
As a former New Jersey Superior Court clerk (for Judge Michael J. Kassel) and New Jersey Supreme Court judicial intern (for Justice Lee A. Solomon), John has keen insight into how judges think. He leverages this knowledge to persuasively advance his clients’ best arguments.
In law school, John was an editor of the New York Law School Law Review. He also joined the Legal Aid Society’s Special Litigation Unit in Manhattan as part of the Pro Bono Scholars Program, advocating for public defense clients.

- Successfully defended a client in a two-member LLC dispute against a claim of usurpation of a corporate opportunity of a nearly $30 million asset. Prevailed on summary judgment. - Achieved nearly $800,000 consent judgment for an investor in a dispute against a Delaware hedge fund. Hedge Fund Sued for Self-Dealing, Ditching ‘Market Cliff’ Plan.
- Successfully represented a property investor with over 100 properties against a state Attorney General investigation.
- Successfully defended restaurateur facing a Paycheck Protection Program (PPP) fraud allegation from a bank and achieved a favorable settlement against that bank.
- Achieved favorable settlement for a cruise line against state government agency investigation.
- Secured judgment as second-chair counsel for beneficiaries of inter vivos transfers, successfully defending against claims of undue influence after a lengthy trial.
